1. Purpose
This Acceptable Use Policy ("Policy") governs the use of all software-as‑a‑service offerings, websites, APIs, and related services that Dragonsight Labs, Inc. d/b/a Upside ("Upside," "we," "our") makes available to its customers (collectively, the "Services"). It forms part of, and is incorporated by reference into, the Upside Master Subscription Agreement or other written agreement covering Customer’s use of the Services (the "Agreement").
2. Scope
This Policy applies to every individual or entity that accesses or uses the Services, including the Customer that has executed the Agreement and each of its employees, agents, contractors, and other users (together, "Users"). By accessing or using the Services, Users agree to comply with this Policy.
3. Prohibited Activities
Users must not, directly or indirectly:
3.1 Illegal, Harmful, or Offensive Use
Violate any applicable law or regulation (including export control, trade sanctions, and data‑privacy laws).
Infringe, misappropriate, or violate any intellectual‑property, privacy, or publicity rights.
Publish, store, or transmit material that is obscene, defamatory, harassing, hateful, or otherwise objectionable.
3.2 Security Violations and Network Abuse
Attempt to gain unauthorized access to any account, data, system, or network.
Probe, scan, or test the vulnerability of any network or system, or breach security or authentication measures, without express written authorization from Upside.
Introduce malware, ransomware, viruses, Trojan horses, worms, corrupted files, or any other malicious code.
3.3 Interference and Service Integrity
Interfere with or disrupt the integrity, availability, or performance of the Services or third‑party data contained therein.
Overload, flood, mail‑bomb, or otherwise impose an unreasonable or disproportionately large load on the Services.
3.4 Messaging Abuse
Send unsolicited bulk email, marketing campaigns, or other forms of spam via the Services.
Publish or transmit content or communications that impersonate another person or entity, or that misrepresent an affiliation with Upside.
3.5 Excessive or Unauthorized Use
Use the Services in a manner that exceeds the usage limits or parameters set forth in the Agreement or applicable Order Form.
Resell, sublicense, or provide the Services to any third party except as expressly permitted by the Agreement.
4. Customer Responsibilities
Customers are responsible for (a) ensuring that their Users comply with this Policy, and (b) promptly notifying Upside of any suspected violation. Customers will cooperate with Upside in any investigation of suspected or alleged violation.
5. Enforcement
Upside may investigate any suspected violation of this Policy. If Upside determines that a User or Customer has violated the Policy, Upside may take all actions it deems appropriate, including issuing a warning, suspending or terminating access to the Services, or pursuing legal remedies. Where practicable, Upside will provide advance notice and an opportunity to cure; however, Upside reserves the right to act immediately to protect the Services or third parties.
6. Reporting Violations
To report a violation of this Policy, please contact security@upside.tech and include relevant details (e.g., logs, message samples, or URLs) to enable Upside to investigate.
7. Changes to This Policy
Upside may modify this Policy from time to time by posting an updated version at https://upside.tech/acceptable‑use-policy or another URL designated by Upside. The revised Policy becomes effective on the date it is posted. Continued use of the Services after the effective date constitutes acceptance of the revised Policy.
